1. DESCRIPTION OF SERVICE AND CORE OPERATIONAL BOUNDARIES
These Terms of Service constitute a legally binding contract between Regulatory Pathways Inc. and the individual or business entity accessing the RegPath software platform. The platform provides automated decision support, label analysis, and compliance tracking for craft breweries, wineries, and distilleries navigating federal Alcohol and Tobacco Tax and Trade Bureau regulations and domestic state alcohol beverage frameworks.
1.1 Artificial Intelligence Regulatory Intelligence Disclaimer. The RegPath platform utilizes automated artificial intelligence algorithms, optical character recognition partners, and large language models to analyze alcohol product labels, formulas, and regulatory documentation. The platform provides regulatory intelligence, workflow automation, and decision-support guidance strictly for educational and informational purposes. Regulatory Pathways Inc. is not a law firm, is not a compliance consulting agency, and does not render legal advice, legal opinions, or guaranteed regulatory determinations.
1.2 Absolute User Reliance Risk and TTB Submission Responsibility. Alcohol beverage compliance laws, Certificate of Label Approval standards, and state alcoholic beverage control rules are highly complex and subject to rapid administrative interpretation changes. Automated prechecks and regulatory answers generated by the platform do not guarantee official approval by the Alcohol and Tobacco Tax and Trade Bureau or any state regulatory body. The user retains sole, primary legal responsibility for verifying the accuracy of all product formulations, mandatory health warning statements, and label graphics before submitting official applications to government authorities. Any reliance placed upon automated platform analysis is undertaken entirely at the sole financial and legal risk of the user.
2. SUBSCRIPTION BILLING, STRIPE PAYMENTS, AND NEGATIVE OPTION COMPLIANCE
2.1 Seven-Day Free Trial and Automatic Paid Conversion. The platform may offer an initial seven-day promotional trial period. To activate a trial, the user must submit a valid payment method through our integrated payment processor, Stripe. By submitting payment details at checkout, the user explicitly authorizes Regulatory Pathways Inc. to automatically charge the applicable recurring monthly or annual subscription fee upon the exact expiration of the seven-day trial window, unless the user completes the formal cancellation process prior to trial conclusion.
2.2 Restore Online Shoppers Confidence Act Compliance. In strict compliance with federal consumer protection laws governing automatic renewal contracts, the user maintains absolute administrative control over subscription cancellation. Users may cancel recurring billing at any time through their digital account dashboard or by submitting a written termination request to our billing support department. Cancellations take effect at the end of the currently paid billing cycle, and no partial refunds are issued for unused subscription periods.
2.3 One-Time Review Fees. For users utilizing the $19.99 single label review deliverable without an active subscription, all payment charges are fully earned upon checkout and are strictly non-refundable once the automated scanning process commences.
3. CONFIDENTIALITY OF UPLOADED FILES AND CLOUD STORAGE ARCHITECTURE
3.1 Protection of Beverage Formulas and Proprietary Labels. Regulatory Pathways Inc. recognizes that uploaded craft beer formulas, vintage wine specifications, distillery mash bills, and unreleased graphic labels constitute highly sensitive commercial trade secrets. The company agrees to maintain administrative, technical, and physical safeguards designed to protect uploaded files against unauthorized external disclosure.
3.2 Amazon S3 Cloud Storage and Archiving Cadence. For users enrolled in active, paid subscription tiers, uploaded graphic labels and historical compliance documentation are securely archived within encrypted Amazon S3 cloud buckets to provide ongoing library management and historical compliance tracking. For users utilizing one-time review checkouts, graphic files are retained strictly for the duration necessary to complete the automated scan and generate the compliance report. Upon formal account termination or subscription cancellation, all historical label libraries and formulation records are queued for permanent deletion in accordance with our data retention schedule.
4. INTELLECTUAL PROPERTY AND USER-GENERATED CONTENT
All software code, visual interfaces, regulatory database architectures, and proprietary algorithms comprising the RegPath platform remain the exclusive intellectual property of Regulatory Pathways Inc. The user retains full copyright ownership over all original graphic labels and beverage formulation documents uploaded to the server. By uploading materials to the platform, the user grants Regulatory Pathways Inc. a limited, secure, non-exclusive operational license to host, process, and scan the files solely for the purpose of delivering the contracted regulatory intelligence services.
5. HARDCORE LIMITATION OF LIABILITY AND INDEMNIFICATION
5.1 Total Financial Liability Cap. To the maximum extent permitted by applicable federal law, the total aggregate financial liability of Regulatory Pathways Inc., its officers, directors, software developers, and integrated technology vendors to the user for any claim, loss, regulatory fine, or operational glitch arising out of platform utilization shall be strictly capped and limited to the total subscription fees actually paid by the user to the company during the trailing three months preceding the dispute, or the exact nineteen-dollar fee paid for an individual label review, whichever amount is lower. Under no legal theory shall the company be held liable for indirect, incidental, consequential, special, or punitive damages, including lost brewery revenue or delayed product launch timelines.
5.2 User Indemnification and Government Fine Shield. If the Alcohol and Tobacco Tax and Trade Bureau, the Food and Drug Administration, or any state alcoholic beverage control board assesses monetary penalties, product recall orders, or administrative fines against the user resulting from non-compliant alcohol labels, inaccurate alcohol by volume disclosures, or unapproved formula submissions, the user agrees to defend, indemnify, and hold harmless Regulatory Pathways Inc. and its software engineers from any resulting financial loss, legal defense costs, or regulatory liability.
6. GOVERNING LAW AND DISPUTE RESOLUTION
6.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
6.2 Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, except where applicable law requires otherwise.
